Koo Bon-sung, former vice chairman of Ourhome, countersuits Koo Ji-eun and Myung-jin

[Alpha Biz=(Chicago) Reporter Paul Lee] Former Ourhome Vice Chairman Koo Bon-sung has filed a complaint against his younger sister, Vice Chairman Koo Ji-eun (CEO) and in-house director Koo Myung-jin, on charges of professional malpractice.

"Although we were aware that the resolution to approve the limit on directors' compensation at the 2023 general shareholders' meeting of Our Home was illegal, CEO Koo Ji-eun and in-house director Koo Myung-jin received a large amount of directors' compensation and sued the company for breach of trust," former Vice Chairman Koo said in a reference on the 8th.

The remuneration of directors of a stock company shall be determined by a resolution of the general shareholders' meeting, and the shareholders who are directors shall not exercise their voting rights because they have a special interest.

Former Vice Chairman Koo referred to this, saying, "Although he pointed out that interested shareholders were restricted from exercising their voting rights during the general shareholders' meeting in 2023, CEO Koo Ji-eun ignored it and approved a bill to set the remuneration limit for directors to 15 billion won without restrictions on voting rights."

Ourhome is a company in which one son and three daughters of founder Koo Ja-hak, the late chairman of Ourhome, hold more than 98% of the total stock. The largest shareholder is the eldest son, former Vice Chairman Koo, who holds a 38.6% stake, and Vice Chairman Koo Ji-eun and three sisters, Mi-hyun and Myung-jin, hold a combined 59.6% stake.

Former vice chairman Koo was dismissed in June 2021 after losing a management dispute with his three younger sisters, but has since been at odds over management rights.

At the 2023 shareholders' meeting, former vice chairman Koo demanded that the company allocate 296.6 billion won, more than 10 times the company's annual net profit, sparking controversy.
