[Alpha Biz= Paul Lee] Align Partners has filed an injunction seeking to suspend the duties of an outside director at Dentium, following its earlier lawsuit to nullify resolutions passed at the company’s annual general meeting.
Dentium disclosed on June 16 that Align Partners Asset Management, Samsung Securities, and Align Partners Korea Fund LP have submitted a request to the Suwon District Court to halt the duties of outside director Kim Hee-taek.
The injunction seeks to prevent Kim from exercising his duties as an outside director until a final ruling is reached in the main lawsuit, which challenges the validity of resolutions passed at Dentium’s annual shareholders’ meeting held on March 31. The legal basis for the claim is shareholders’ rights under Article 376 of the Korean Commercial Act.
Earlier, on June 10, Align Partners filed a lawsuit against Dentium to annul the shareholder meeting resolutions. The injunction, filed on June 1, is intended as a temporary measure to restrict the director’s authority until the court delivers a final judgment on the case.
